Overview
We are seeking a Securities Counsel ("Counsel") with experience in matters pertaining to securities regulations and capital markets.
Headquartered in Dhahran, Saudi Arabia, Counsel will join the Capital Markets Legal Practice within the Law Organization's Corporate Secretariat. In this role, Counsel will provide guidance and advice on securities, along with a broad spectrum of matters that confront a multinational energy company and its global subsidiaries and joint ventures. Counsel will support the Company's overall disclosure objectives; work with the Capital Markets Legal Practice team to develop and update comprehensive securities policies; provide advice and training to Saudi Aramco employees and executives; and manage resolution of securities issues.

Duties & Responsibilities
Assisting with the preparation of periodic and current disclosures as required by the applicable regulators.
Reviewing general disclosures to be made by Saudi Aramco.
Assisting with Saudi Aramco's internal assessment of the Company's disclosure controls and internal control over financial reporting.
Providing securities and corporate governance advice with respect to securities filings to be made by Saudi Aramco and its senior management.
Working with investor relations and Saudi Aramco's financial reporting personnel to prepare earnings releases, investor presentations, other investor-focused communications on behalf of Saudi Aramco.
Assisting Saudi Aramco's Capital Markets Legal Practice Leader, Associate General Counsel & Assistant Corporate Secretary and General Counsel & Corporate Secretary in advising the Saudi Aramco Board of Directors with respect to corporate governance and regulatory developments.
Providing insider trading advice.
Monitoring relevant legal and regulatory requirements relating to listed companies, as well as developments in legislation and enforcement to ensure that the Company has current and appropriate securities policies and procedures.
Providing direction, oversight, and counsel during securities and capital markets-related reviews, whether conducted by Saudi Aramco personnel or outside counsel.
Supporting Saudi Aramco's global operations with expert securities and capital markets-related counseling and advice.
Addressing securities and capital markets-related matters raised by business lines, subsidiary companies, and management.
Working with other attorneys and personnel to develop and deliver securities and capital markets-related training.
Supporting the Law Organization as to securities law matters.
Minimum Requirements
Currently licensed, admitted to practice, and in good standing in the United States, Canada or the European Union.
6+ years of hands-on experience at a large multinational corporation(s) and/or law firm(s).
Specific knowledge of and meaningful experience with securities regulations is required.
Special focus will be given to candidates who have experience with U.S., U.K. and/or KSA listed companies.
